Wesco Aircraft Holdings, Inc. (“Wesco Aircraft” or the “Company”) (NYSE:
WAIR) today announced the pricing of the previously announced public
offering of 15,000,000 shares of common stock by affiliates of The
Carlyle Group (“Carlyle”), at a price to the public of $16.00 per share.
Upon completion of the offering, Carlyle will beneficially own
approximately 41.0% of the outstanding common stock of Wesco Aircraft.
In addition, the underwriters have an option to purchase up to 2,250,000
additional shares from Carlyle. The offering is expected to close and
settle on May 29, 2013. Carlyle and the directors and officers of the
Company have entered into lock-up agreements placing certain
restrictions on their sale or transfer of shares of common stock for a
period of 75 days or, in certain cases, 60 days from the date of the
offering. The Company is not selling any shares of common stock in the
offering and will not receive any of the proceeds from the offering of
shares by Carlyle.
